Supplier Code of Conduct

Effective Date: 17 July 2025

At Materia Scientia LLC, we are committed to conducting business with integrity,
transparency, and respect for people and the environment. We expect the same commitment from our suppliers, contractors, and business partners. This Supplier Code of Conduct outlines the minimum standards required for all suppliers working with us.

Compliance with Laws and Regulations

Suppliers must comply with all applicable local, national, and international laws, regulations, and standards, including but not limited to:

  • Trade, export, and import controls.
  • Workplace health and safety laws.
  • Environmental protection regulations.
  • Competition, anti-bribery, and anti-corruption laws.

Business Integrity

  • Suppliers must operate with honesty, fairness, and integrity.
  • Bribery, corruption, extortion, or facilitation payments are strictly prohibited.
  • Conflicts of interest must be disclosed immediately to Materia Scientia LLC.

Labour & Human Rights

Suppliers are expected to:

  • Prohibit the use of forced, bonded, or child labour.
  • Uphold fair wages, working hours, and conditions in line with legal standards.
  • Respect employees’ rights to freedom of association and collective bargaining.
  • Provide a safe, respectful, and inclusive workplace free from harassment or
    discrimination.

Health, Safety & Environment

Suppliers must:

  • Provide a safe and healthy working environment.
  • Implement risk management systems to prevent accidents and injuries.
  • Handle, store, transport, and dispose of materials responsibly and safely.
  • Minimise environmental impact through sustainable practices, resource efficiency,
    and pollution prevention.

Product Quality & Safety

  • All goods and services supplied must meet agreed specifications, quality standards,
    and regulatory requirements.
  • Suppliers must provide accurate product information, including Safety Data Sheets (SDS) where applicable.
  • Non-conforming products must be reported and addressed immediately.

Ethical Sourcing & Modern Slavery

  • Suppliers must ensure their operations and supply chains are free from modern
    slavery and human trafficking.
  • Responsible sourcing of raw materials is expected, particularly for high-risk
    commodities.
  • Regular due diligence and transparent record-keeping are required.

Confidentiality & Data Protection

Suppliers must:

  • Protect confidential and commercially sensitive information.
  • Handle personal data in compliance with applicable data protection laws, including
    GDPR where relevant.

Monitoring & Compliance

  • Materia Scientia LLC reserves the right to assess suppliers’ compliance through
    audits, self-assessments, or on-site visits.
  • Non-compliance may result in corrective action requirements, suspension, or
    termination of the business relationship.

Reporting Concerns

  • Suppliers and their employees are encouraged to report any concerns or breaches of this Code to Materia Scientia LLC without fear of retaliation. Concerns can be reported via: info@materiascientia.com

Acknowledgement

By working with Materia Scientia LLC, suppliers agree to uphold the principles outlined in
this Supplier Code of Conduct and to cascade these standards throughout their own supply chains.
