Whistleblower Policy

Purpose

This Whistleblower Policy ensures that employees, contractors, suppliers, and stakeholders can raise concerns about misconduct, illegal activity, or unethical behaviour without fear of retaliation. It supports Materia Scientia LLC’s commitment to integrity, transparency, and compliance with Australian law.

Scope

This Policy applies to:

  • Current and former employees, contractors, and consultants
  • Suppliers and their employees
  • Relatives and dependents of any of the above

What Can Be Reported

Reportable conduct includes, but is not limited to:

  • Fraud, corruption, or bribery
  • Breach of laws, regulations, or company policies
  • Modern slavery or human rights violations
  • Unsafe work practices or serious environmental risks
  • Misuse of company funds or assets
  • Discrimination, harassment, or bullying
  • Attempts to conceal any of the above

Personal workplace grievances (e.g. disputes with colleagues) are generally not covered
unless they involve victimisation, systemic misconduct, or breaches of law.

Reporting Channels

Whistleblowers can report concerns through:

  • Confidential Email: compliance@materiascientia.com.au
  • Direct Reporting: To a manager, HR, or senior executive
  • External Reporting: To regulators such as ASIC, APRA, ATO, or law enforcement where appropriate Anonymous disclosures are permitted.

Protections for Whistleblowers

Under Australian law, eligible whistleblowers are protected against:

  • Retaliation: No dismissal, demotion, or threats for making a disclosure in good faith
  • Legal Liability: Protection from civil, criminal, or administrative liability for the act of eporting
  • Confidentiality: Identity will not be disclosed without consent, except as required by law

Investigation Process

  • All reports will be assessed promptly and fairly
  • Investigations will be conducted confidentially and independently
  • Whistleblowers will be kept informed of progress where possible
  • Outcomes may include disciplinary action, process improvements, or reporting to regulators

Responsibilities

  • Management: Must support and protect whistleblowers from retaliation
  • Employees: Must cooperate with investigations and uphold confidentiality
  • Compliance Officer: Oversees this Policy, reporting, and review

Review

This Policy will be reviewed annually to ensure compliance with evolving legal and ethical standards in Australia.
